The Company&#8217;s Board consists of 7 members, of which 3 are independent directors. Since the Company&#8217;s industry chiefly consists of medical-related areas, 4 directors have a background in medicine; in addition, one director has a background in financial accounting, one director has a background in medical information software, and one director has a background in international trade. This composition is consistent with the Company&#8217;s operating and development needs and the effectiveness of its functional committees.<\/p><p>The Company also places great importance on gender equality in the composition of its Board of Directors. Although the proportion of directors of either gender on the Board currently falls short of one-third, this is mainly due to the challenges of finding qualified female directors in the healthcare industry. However, the Company remains committed to this goal and continues to actively seek professional female directors who meet the requirements of its industry. The initial goal to add one female director was achieved when the 2023 Annual General Meeting elected the 7th-term Board of Directors. We aim to onboard an additional female director during the next-term Board of Directors\u2019 re-election.<\/p><p>The Company has formulated its 2024 plan for succession of the Board of Directors and key management positions, and reported this plan to the Board of Directors on November 6, 2024.
