Sustainability Committee
Organization
To foster the sound management and implementation of corporate sustainability and enhance the governance structure, CHC Healthcare Group has established the Sustainability Committee. The committee is a functional committee composed of three independent directors. CHC has also adopted the Sustainability Committee Charter to formalize its operations.
The Board of Directors of the Company has delegated responsibility for managing CHC’s economy-, environment-, and social-related impacts to the Sustainability Committee. The Sustainability Committee consists of five working groups, including corporate governance, customer service, employee welfare, environmental sustainability, and social participation. Leaders of each working group are acted by senior executives or department heads, and group members are gathered from colleagues of relevant departments. In this way, CHC can integrate its sustainability commitments and operating strategies effectively. Policies and promises can be top-down implemented, and feedback from stakeholders can be bottom-up communicated. Each working group under the Sustainability Committee is responsible for executing impact management according to its competency, including the assessment of material topics by regular review of actual and potential impacts yearly and communication on stakeholders’ issues of concern on occasion to integrate the resources from various departments and incorporate ESG as a part of the corporate sustainability strategy through full two-way communicate.
CHC’s Sustainability Committee convenes at least once a year and is responsible for formulating annual ESG plans based on the Group’s business strategy and tracking implementation results, reviewing corporate sustainability policies, systems, and management guidelines, and assigning working groups to prepare and publish annual sustainability reports. The committee regularly reports its implementation status and the status of communication with CHC’s various stakeholders to the Board of Directors in the first and third quarters of every year. Moreover, starting from preparing the 2023 sustainability report in 2024, the report must not only be reviewed by the responsible supervisors but also be submitted to the Board of Directors for approval before its publication.
The Company’s Board of Directors regularly listens to reports from the Sustainability Committee and management team, bearing responsibility for the approval of annual sustainability report, annual ESG plans and review of past implementation results. In addition, the Board of Directors also monitors engagement between the Group and its stakeholders, routinely reviews whether the content of the Group’s Sustainable Development Best Practice Principles has kept pace with the times, and urges relevant departments to make revisions when necessary. The Board of Directors plays the role of leader and supervisor on the CHC’s corporate sustainability topics.
Following the principle of materiality, CHC has conducted the risk assessment on environmental, social, or corporate governance issues related to the Group’s operations to serves as a reference for the Group’s risk management and operational decision-making. Mr. Geng-Wang, Liaw, independent director and member of the committee, meets the professional capabilities required by the committee due to his educational background and experience related to the medical industry and management, and his frequent participation and professional guidance provision in social participation activities organized by the Group.
Implementation Status of Sustainability Committee
- The Sustainability Committee convened the 3rd meeting of the 2nd term on March 12, 2025, which approved “2024 ESG Implementation Results” and “2025 ESG Plans”.
- The Sustainability Committee convened the 4th meeting of the 2nd term on August 6, 2025, which approved “2024 Sustainability Report”.
